Terms of Service

1. Acceptance
These Terms of Service ("Terms") are a contract between you and Zincan LLC, doing business as Starry, a limited liability company registered in North Carolina, United States ("Starry", "we", "our", "us"). By creating an account, accepting an invitation, opening a job link we sent you, installing our mobile app, calling our API, or otherwise using the Starry website or services (the "Services"), you agree to these Terms. If you do not agree, do not use the Services.
The Services include the Starry web console, the Starry mobile apps, the AI assistant, the account-less job and chat links we send by text message and email, the public API and its documentation, and the websites we host for customers (Starry Sites).
2. Accounts, companies, and people without accounts
- Starry is sold to companies. If you sign up on behalf of one, you represent that you have authority to bind it to these Terms, and "you" in these Terms means both you and that company.
- A company's administrators decide who may join it, what each person can see, and when that access ends. If your access is removed by your company, it is removed.
- Not everybody who uses Starry has an account. A company can send a cleaner, a contractor or a guest a link by text message or email that opens their own jobs or their own message thread without signing in. Those links are personal: treat one like a key, do not forward it, and tell the company that sent it if you think somebody else has it. Links expire, and the company that sent one can revoke it at any time.
- You must be at least 16 years old (or the age of digital consent where you live) to use the Services.
- You are responsible for the accuracy of your account information and for safeguarding your credentials and your API tokens. Notify us promptly at support@starry.help if you suspect unauthorized access.
3. What Starry is — and isn't
Starry is software. We license it to short-term rental management companies so they can run their own operation: their properties, their bookings, the turnover work those bookings create, the people who do that work, and the messages that go with it.
That means all of the following, plainly:
- We are not a marketplace. We do not introduce you to cleaners, contractors, owners or guests, and we take no part in your agreements with them. The people in your Starry account are people you already have a relationship with.
- We are not the employer of anybody you add to your company in Starry, and nothing here makes us their employer, their agent, or your joint employer. Whether your crew are employees or independent contractors is a question about your business, answered by your own arrangements and the law where you operate — not by which access level you picked in a dropdown.
- We are not a property manager and we do not perform, supervise, inspect or guarantee any physical work. A checklist marked complete in Starry is a record of what somebody said they did, with whatever photographs they attached. It is evidence, not a warranty from us.
- We are not a booking channel. Starry is not affiliated with Airbnb, Vrbo, or any other listing platform, and is not endorsed by them. Where Starry records that a stay came from one of them, that is a label on your own data.
- We are not a payment processor, bank, or escrow. See section 9.
4. Your data, and the people in it
Most of what goes into Starry is information about somebody else: a guest's name and phone number, an owner's property, a cleaner's mobile number, the door code to a home, and photographs taken inside it.
- It stays yours. We do not sell it, we do not use it to train general-purpose AI models, and we do not share it with other Starry customers.
- You are responsible for it. You confirm that you are entitled to put each person's information into Starry and to have us contact them on your behalf, and that doing so does not break a law or a contract you are under.
- Access details are sensitive. Door codes, lockbox instructions, alarm notes and access photos are shown to the people you assign work to, including people with no Starry account, over a link. Decide who gets a job accordingly.
- If somebody in your account asks us to delete their personal information, we will normally point them at you, because it is your record and not ours. See the Privacy Policy.
5. Acceptable use
You agree not to:
- Use the Services for any unlawful, fraudulent, harassing, abusive, or discriminatory purpose;
- Upload content that infringes intellectual property, privacy, or publicity rights, or photograph people who have not agreed to be photographed;
- Send marketing, political or unsolicited bulk messages through Starry's messaging, or message anybody who has asked you to stop;
- Probe, scan, test, or attempt to circumvent the security of the Services or any related system, including another company's data or another person's job link;
- Use automated tools to scrape or bulk-extract data from the Services other than through the documented API, or exceed published rate limits, or share an API token outside your company;
- Resell or white-label the Services without our written agreement;
- Impersonate any person or entity, or misrepresent your affiliation with one.
6. The Starry assistant
Starry includes an AI assistant that does not only answer questions — it takes actions in your account. It can assign a job, move a working window, create or cancel work, change a reservation, invite a crew member, send somebody their job link, and edit pages on your Starry Site. When it does, it is acting as you, within your company's data and your own permissions, at your instruction.
- Anything that leaves your company waits for you. Messages to guests and other outbound actions are presented as an approval you have to accept before they send. Approving one is your decision and your responsibility.
- It can be wrong. AI output can be inaccurate, incomplete or confidently mistaken. Check anything that matters before you act on it, and do not rely on the assistant for legal, financial, tax, safety or compliance decisions.
- It uses third-party model providers. To answer you, the relevant parts of your request and your company's data are sent to the providers listed in section 12 under contract. They do not use it to train their models.
- Voice conversations are processed by a third-party realtime speech provider. Do not say anything to the assistant you would not put in writing.
- We may apply usage and cost limits to the assistant, and may change the underlying models.
7. Messaging, SMS, and job links
Starry sends text messages, emails, push notifications and in-app messages. Some are to you; most are to your people, on your behalf — a cleaner's job link, a guest's reply, a reminder about a stay.
- You are the sender in substance. When you add somebody to your company or message them through Starry, you confirm you have their permission to contact them at that number or address for this purpose, and that you will honour an opt-out when you receive one.
- Recipients can stop text messages by replying
STOP, and can turn off push notifications in their device settings. Message and data rates may apply. - By using the Services you consent to receive the transactional messages needed to operate them — a new message in a thread, a job assigned to you, a security notice.
- Job and chat links are unguessable, personal and time-limited, but they are still links. Anybody holding one can see what it opens.
8. Starry Sites
We host a website for your company, optionally on a domain you own. That adds a few specific things:
- The content is yours and it is your responsibility. What your site says about your services, your prices, your availability and your licences is your claim, not ours — including anything you asked the assistant to draft and then published.
- Your domain stays yours. You point it at us; we verify it and obtain and renew a TLS certificate for it. Stop using Starry and you point it somewhere else. We do not acquire any interest in it.
- We may suspend or take down a site that breaks section 5, that is being used for fraud or phishing, or that we are required to act on — and we will tell you why.
- We do not promise any particular uptime, search ranking, traffic or conversion rate for a hosted site.
9. Fees and payments
There are two separate money questions here. Keep them apart.
What you pay us
- Starry is currently in early access. Fees, where they apply, are the ones agreed with you in writing. We will give you notice before a price applies to you, and before we change one.
- Fees are exclusive of taxes unless we say otherwise, and are not refundable except where the law requires it or we agree.
What your customers pay you
- Card payments taken through your Starry Site are processed by Stripe, Inc. under Stripe's own agreement with you. You are the merchant. Money goes from your customer to your Stripe account and then to your bank. It does not pass through us and we do not hold it.
- Refunds, chargebacks, disputes, and the tax treatment of what you charge are between you, your customer and Stripe. We can show you what the system recorded; we cannot move the money.
- We do not withhold or remit taxes for you, your staff or your contractors.
10. Your content
You keep ownership of what you put into Starry: messages, photographs, checklists, property notes, site pages and the rest. You grant us a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, display and transmit it strictly as needed to operate, secure and support the Services for you — including serving your Starry Site to the public, and showing a job's photographs to the people working on it.
Photographs taken inside a property can show other people's homes and belongings. Only take and upload what the job needs.
11. Intellectual property
The Starry name, logo, website, mobile apps, and software are owned by Zincan LLC and are protected by U.S. and international intellectual property laws. Except as expressly permitted, you may not copy, modify, distribute, sell, or create derivative works of the Services. Feedback you send us we may use freely and without obligation.
12. Third-party services
The Services interoperate with third parties, currently including Stripe (payments), Amazon Web Services (hosting and file storage), Twilio (text messaging), Postmark (email), Expo (mobile builds and push notifications), Sentry (crash and performance monitoring), Cloudflare (bot protection on sign-in forms), Let's Encrypt (certificates for custom domains), Anthropic (the assistant's language model) and xAI (the assistant's realtime voice). Your use of those services is subject to their own terms, and we are not responsible for their acts or omissions. This list changes as the product does; the current one is in the Privacy Policy.
13. Disclaimers
The Services are provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. Starry does not warrant that the Services will be uninterrupted, timely, secure, or error-free, nor that any content, schedule, working window, or AI-generated output will be accurate or reliable.
14. Limitation of liability
To the maximum extent permitted by law, Starry, its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, arising from (a) your access to or use of or inability to access or use the Services; (b) any conduct or content of any third party on the Services; (c) unauthorized access, use, or alteration of your transmissions or content.
In no event will Starry's aggregate liability exceed the greater of (i) one hundred U.S. dollars ($100) or (ii) the amount you paid to Starry in the twelve months preceding the claim.
15. Indemnification
You will indemnify and hold harmless Starry and its affiliates from any claim or demand, including reasonable attorneys' fees, arising from your use of the Services, your content, the work performed at properties you manage, your messages to guests and crew, your violation of these Terms, or your violation of the rights of another.
16. Termination, and getting your data out
You may stop using the Services at any time, and a company administrator can close a company account. We may suspend or terminate access if you breach these Terms, if required by law, or to protect the Services or other users.
- On termination, your Starry Site stops being served and any custom domain pointed at us stops resolving here. Point it elsewhere before you go.
- Ask us before you leave and we will help you export your properties, reservations, jobs and photographs. Do not assume the data stays available indefinitely afterwards.
- Job links and chat links stop working.
- Sections that by their nature should survive termination will do so.
17. Governing law and disputes
These Terms are governed by the laws of the State of North Carolina, United States, without regard to conflict-of-laws rules. Except where prohibited by applicable law, any dispute arising out of these Terms or the Services will be resolved in the state or federal courts located in Wake County, North Carolina, and you consent to personal jurisdiction there.
18. Changes
We may update these Terms from time to time. We will revise the "Last updated" date at the top, and for material changes give you prominent notice. Your continued use of the Services after an update constitutes your acceptance of the revised Terms.
